Please read these Terms of Service carefully before using any services provided by SINC. By accessing or using our services, you agree to be bound by these terms.

1. Introduction & Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Client", "you", or "your") and SINC, operated by Svayam Incarnation Limited, a company registered in London, England ("SINC", "we", "us", or "our"), governing your access to and use of our websites, platforms, products, and services.

By accessing or using any of our services, including but not limited to sinc.sh and all associated platforms, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our services.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such cases, "you" and "your" shall refer to that entity.

These Terms apply to all visitors, users, clients, and any other persons who access or use our services. Additional terms may apply to specific products or services, and such terms will be presented to you at the time of purchase or registration for those services.

2. Definitions

For the purposes of these Terms, the following definitions shall apply:

  • "Services" refers to all products, platforms, software, applications, APIs, consulting services, development services, technical support, and any other offerings provided by SINC.
  • "Platforms" refers to the proprietary software platforms operated by SINC, including but not limited to Blackgare (CRM/ERP), Storelink.cc (e-commerce), Monzila.com (real estate), and Moggli.com (marketplace).
  • "Content" means all text, data, information, software, graphics, photographs, images, illustrations, audio clips, video clips, and other materials made available through the Services, whether provided by SINC or by Users.
  • "User Content" means any Content that a User submits, posts, uploads, transmits, or otherwise makes available through the Services.
  • "Intellectual Property" means all patents, trademarks, service marks, trade names, copyrights, trade secrets, know-how, proprietary information, software code, designs, algorithms, and any other intellectual property rights recognised by law.
  • "Confidential Information" means any information disclosed by one party to the other, whether orally, in writing, or electronically, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.
  • "Subscription" refers to a recurring plan or licence for access to one or more of our Platforms or Services, as set out in the applicable order form or pricing page.
  • "Statement of Work" (SOW) means a document that describes the specific services, deliverables, timelines, and fees for a project engagement between SINC and a Client.

3. Services Description

SINC provides a comprehensive range of technology services and software products designed for businesses and enterprises. Our services include, but are not limited to:

3.1 Software Products & Platforms

  • Blackgare — A customer relationship management (CRM) and enterprise resource planning (ERP) platform for managing business operations, sales pipelines, customer data, and organisational workflows.
  • Storelink.cc — An e-commerce platform enabling businesses to create, manage, and scale online storefronts with integrated payment processing, inventory management, and analytics.
  • Monzila.com — A real estate technology platform offering property listing, management, and transaction tools for agents, developers, and property managers.
  • Moggli.com — A marketplace SaaS platform that enables businesses to build and operate multi-vendor marketplaces with buyer and seller management capabilities.

3.2 Professional Services

  • Full stack software development and web application engineering
  • Custom SaaS platform design, development, and deployment
  • Artificial intelligence and machine learning model development, training, and deployment
  • Technology manpower deployment and team augmentation
  • Cloud infrastructure management, DevOps, and CI/CD pipeline implementation
  • Technology consulting, architecture review, and digital transformation advisory

SINC reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify Users of any material changes that may affect their use of the Services.

4. User Accounts & Registration

4.1 Account Creation

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to provide accurate, current, and complete information as requested during the registration process, and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for safeguarding your account credentials, including your password and any API keys associated with your account. You agree to:

  • Maintain the confidentiality of your account login credentials and restrict access to your account
  • Immediately notify SINC of any unauthorised use of your account or any other breach of security
  • Accept responsibility for all activities that occur under your account, whether or not authorised by you
  • Use strong, unique passwords and enable multi-factor authentication where available

4.3 Account Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account or use our Services. By creating an account, you represent and warrant that you meet this age requirement. SINC reserves the right to refuse service, terminate accounts, or cancel orders at our sole discretion.

4.4 Account Data

You retain ownership of all data you upload to your account. However, you grant SINC a limited, non-exclusive licence to use, process, and store your data solely for the purpose of providing the Services. Upon termination of your account, SINC will make your data available for export for a period of thirty (30) days, after which we may delete it in accordance with our data retention policies.

5. Intellectual Property Rights

5.1 SINC Intellectual Property

All Intellectual Property rights in and to the Services, including but not limited to the Platforms, software, source code, algorithms, user interfaces, designs, documentation, trademarks, trade names, logos, and all related technology, are and shall remain the exclusive property of SINC and Svayam Incarnation Limited. Nothing in these Terms grants you any right, title, or interest in our Intellectual Property except for the limited licence to use the Services as expressly permitted under these Terms.

5.2 Licence Grant

Subject to your compliance with these Terms and payment of all applicable fees, SINC grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during the term of your Subscription or engagement.

5.3 Custom Development Work

For custom software development engagements, Intellectual Property ownership shall be determined by the applicable Statement of Work or separate written agreement. Unless otherwise expressly agreed in writing:

  • All custom code, designs, and deliverables created specifically for the Client under a Statement of Work shall be assigned to the Client upon full payment of all applicable fees
  • SINC retains ownership of all pre-existing Intellectual Property, tools, frameworks, libraries, and methodologies used in the provision of the Services
  • SINC retains the right to use general knowledge, skills, experience, and techniques acquired during the engagement in future projects

5.4 Restrictions

You shall not, and shall not permit any third party to:

  • Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Services or any part thereof
  • Sublicence, lease, rent, sell, distribute, or otherwise transfer rights to the Services to any third party
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Services
  • Use the Services to develop a competing product or service, or to benchmark or compare performance with competing products without prior written consent

6. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services in any manner that could damage, disable, overburden, or impair any SINC server or network, or interfere with any other party's use of the Services.

6.1 Prohibited Activities

You agree not to:

  • Use the Services for any illegal, fraudulent, or unauthorised purpose, or in violation of any applicable local, national, or international law or regulation
  • Upload, transmit, or distribute any viruses, worms, Trojan horses, malware, or any other malicious code or software designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment
  • Attempt to gain unauthorised access to any portion of the Services, other user accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means
  • Engage in any automated data collection, scraping, crawling, or harvesting of data from the Services without prior written consent from SINC
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
  • Interfere with, disrupt, or create an undue burden on the Services or the servers, systems, or networks connected to the Services
  • Use the Services to send unsolicited communications, spam, or bulk messages, or to harvest email addresses or other personal information

6.2 API Usage

If you access the Services through an API, you agree to comply with any applicable rate limits, usage policies, and API documentation provided by SINC. Excessive or abusive API usage may result in temporary or permanent suspension of access. SINC reserves the right to impose or modify rate limits at any time without prior notice.

6.3 Enforcement

SINC reserves the right, but is not obligated, to monitor the use of the Services for compliance with this Acceptable Use Policy. Violations may result in immediate suspension or termination of your access to the Services, without liability to you.

7. Payment Terms

7.1 Fees and Pricing

Fees for our Services are as set out on our pricing pages, in an applicable Statement of Work, or as otherwise agreed in writing between you and SINC. All fees are quoted in the currency specified at the time of quotation or invoice and are exclusive of applicable taxes unless stated otherwise.

7.2 Payment Schedule

  • Subscriptions: Subscription fees are billed in advance on a monthly or annual basis, as selected during registration. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • Project-Based Services: Payment for custom development and consulting engagements shall follow the schedule outlined in the applicable Statement of Work, which may include milestone-based payments, monthly retainers, or time-and-materials billing.
  • Manpower Deployment: Fees for technology manpower services are billed on a monthly basis in arrears, based on the agreed rates and actual hours or days worked.

7.3 Late Payment

Invoices are due within thirty (30) days of the invoice date unless otherwise agreed in writing. Late payments shall bear interest at the rate of 2% per month or the maximum rate permitted by applicable law, whichever is lower. SINC reserves the right to suspend or restrict access to the Services in the event of non-payment or payment disputes that remain unresolved for more than fifteen (15) days past the due date.

7.4 Taxes

You are responsible for all applicable taxes, duties, and levies arising from your use of the Services, excluding taxes on SINC's net income. If SINC is required by law to collect or remit any tax on your behalf, such tax will be added to your invoice.

7.5 Refunds

Except as required by applicable law or as expressly stated in an applicable Statement of Work, all fees are non-refundable. If you cancel a Subscription mid-cycle, you will continue to have access to the Services until the end of the current billing period, but no prorated refund will be issued for the unused portion of the term.

8. Confidentiality

8.1 Obligations

Each party agrees to hold the other party's Confidential Information in strict confidence and not to disclose it to any third party except as expressly permitted herein. Each party shall use the same degree of care to protect the other party's Confidential Information as it uses to protect its own Confidential Information of like kind, but in no event less than reasonable care.

8.2 Permitted Disclosures

Confidential Information may be disclosed to employees, contractors, and agents of the receiving party who have a need to know the information for the purposes of performing obligations under these Terms and who are bound by confidentiality obligations no less restrictive than those contained herein.

8.3 Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no fault of the receiving party
  • Was known to the receiving party prior to disclosure by the disclosing party, without any obligation of confidentiality
  • Is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information
  • Is rightfully received from a third party without restriction on disclosure and without breach of any obligation of confidentiality
  • Is required to be disclosed by law, regulation, or court order, provided that the receiving party gives prompt notice to the disclosing party and cooperates in any efforts to obtain protective treatment

8.4 Duration

The confidentiality obligations under this section shall survive termination of these Terms for a period of three (3) years, or for so long as the Confidential Information remains confidential, whichever is longer.

9. Limitation of Liability

9.1 Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. SINC does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

9.2 Limitation of Damages

To the maximum extent permitted by applicable law, in no event shall SINC, its directors, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for:

  • Loss of profits, revenue, business, goodwill, or anticipated savings
  • Loss of data, use, or other intangible losses
  • Business interruption or downtime costs
  • Cost of procurement of substitute goods or services
  • Any damages arising out of or in connection with these Terms or the use of or inability to use the Services, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise)

9.3 Cap on Liability

SINC's total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount of fees paid by you to SINC during the twelve (12) months immediately preceding the event giving rise to the claim, or one thousand pounds sterling (GBP 1,000), whichever is greater.

9.4 Essential Basis

You acknowledge that the limitations of liability in this section reflect a reasonable and fair allocation of risk between you and SINC, and that without these limitations, SINC would not be able to provide the Services at the current pricing. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.

10. Indemnification

10.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless SINC Network, Svayam Incarnation Limited, and their respective directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising out of or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of the rights of any third party, including any Intellectual Property, privacy, or data protection rights
  • Any User Content you submit, post, or transmit through the Services
  • Any activity under your account, whether or not authorised by you

10.2 SINC Indemnification

SINC shall indemnify and defend you against any third-party claim alleging that your authorised use of the Services infringes upon a valid patent, copyright, or trademark of a third party, subject to the following conditions: (a) you promptly notify SINC of the claim in writing; (b) you grant SINC sole control of the defence and settlement of the claim; and (c) you provide reasonable cooperation and assistance in the defence of the claim at SINC's expense.

10.3 Remedies

If the Services become, or in SINC's opinion are likely to become, the subject of an infringement claim, SINC may at its option and expense: (a) procure the right for you to continue using the Services; (b) modify the Services to make them non-infringing while maintaining substantially equivalent functionality; or (c) replace the Services with a non-infringing alternative. If none of these options is commercially reasonable, SINC may terminate your access to the affected Services and refund any prepaid fees for the unused portion of the term.

11. Termination

11.1 Termination by You

You may terminate your account and cease using the Services at any time by providing written notice to SINC at support@sinc.sh. For Subscriptions, cancellation will take effect at the end of the current billing period. For project-based engagements, termination is subject to the terms of the applicable Statement of Work, including any early termination fees.

11.2 Termination by SINC

SINC may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including but not limited to:

  • Breach of these Terms, including the Acceptable Use Policy
  • Non-payment of fees that remain outstanding for more than thirty (30) days past the due date
  • Suspected fraudulent, abusive, or illegal activity
  • Upon request by law enforcement or government authorities
  • Discontinuation of the Services or any material part thereof

11.3 Effect of Termination

Upon termination of your account or these Terms:

  • Your right to access and use the Services will cease immediately
  • SINC will make your data available for export for thirty (30) days following termination, after which it may be permanently deleted
  • Any outstanding fees owed by you to SINC shall become immediately due and payable
  • Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution

12. Dispute Resolution

12.1 Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute"), the parties agree to first attempt to resolve the Dispute through good faith negotiation. Either party shall provide written notice of the Dispute to the other party, and the parties shall engage in direct negotiations for a period of no less than thirty (30) days from the date of such notice.

12.2 Mediation

If the Dispute cannot be resolved through direct negotiation within the thirty (30) day period, the parties agree to submit the Dispute to mediation administered by the Centre for Effective Dispute Resolution (CEDR) in London, England, in accordance with CEDR's mediation procedures. The costs of mediation shall be shared equally between the parties, and each party shall bear its own legal costs.

12.3 Litigation

If the Dispute cannot be resolved through mediation within sixty (60) days of the commencement of mediation proceedings, either party may bring a claim in the courts of England and Wales, which shall have exclusive jurisdiction to hear and determine any such Dispute. Nothing in this section shall prevent either party from seeking interim or injunctive relief in any court of competent jurisdiction.

12.4 Class Action Waiver

To the fullest extent permitted by applicable law, you agree that any Dispute shall be resolved on an individual basis only and not in a class, consolidated, or representative action. You waive any right to participate in any class action or class arbitration against SINC.

13. Governing Law

These Terms and any Dispute arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for the purpose of any suit, action, or proceeding arising out of or relating to these Terms. You agree that any legal action or proceeding between you and SINC shall be brought exclusively in a court of competent jurisdiction located in London, England.

Notwithstanding the foregoing, SINC may seek injunctive or other equitable relief in any court of competent jurisdiction as necessary to protect its Intellectual Property rights or Confidential Information.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties as closely as possible.

If such modification is not possible, the invalid or unenforceable provision shall be severed from these Terms, and the remaining provisions shall be interpreted as if the severed provision had never been included.

The failure of SINC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorised representative of SINC.

15. Changes to Terms

SINC reserves the right to modify, update, or replace these Terms at any time at its sole discretion. We will provide notice of any material changes by:

  • Posting the updated Terms on our website with a revised "Last updated" date
  • Sending an email notification to the address associated with your account, where applicable
  • Displaying a prominent notice within the Services or on our website

Material changes will not take effect until at least thirty (30) days after the notice is provided. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Services before the changes take effect.

It is your responsibility to review these Terms periodically for changes. Non-material changes, such as corrections of typographical errors or formatting updates, may be made at any time without prior notice.
